Wholesale Terms & Conditions

1. Agreement to Terms

By applying for and using a wholesale account with RBZ 3D, you agree to be bound by these Wholesale Terms & Conditions in addition to our general Terms of Service. If there is any conflict between these wholesale terms and the general terms, these wholesale terms prevail to the extent of the inconsistency.

2. Wholesale Account Eligibility

To be eligible for a wholesale account, you must be a registered Australian business with a valid Australian Business Number (ABN).

All wholesale account applications are subject to approval by RBZ 3D at our discretion, acting reasonably. We may request additional information to verify your business details before approving your application.

Where an account holder operates multiple locations or trading sites under the same ABN or legal entity, all locations are treated as a single account for the purposes of credit limits, payment terms, and liability.

Separate accounts may be established where entities operate under different ABNs or legal structures, subject to approval by RBZ 3D.

The account holder warrants that it has full authority to enter into this agreement and that any director, employee, agent, or other representative placing orders on its behalf is authorised to do so.

The account holder is responsible for all orders placed by its directors, employees, agents, or other representatives.

Wholesale accounts include access to a team management dashboard where the account holder can invite representatives to place orders on their behalf. Individual team members can be assigned roles and approval thresholds to control purchasing limits. The account holder remains responsible for all orders placed by team members regardless of any internal approval settings.

RBZ 3D may, at its discretion, treat related entities, commonly controlled businesses, or businesses operating under the same directors or management as a single account for the purposes of credit assessment, credit limits, and risk management.

3. Services and Pricing

RBZ 3D provides custom laser-engraved labels, signage, and traffolyte products for electrical, industrial, and commercial applications. Services include:

• Custom engraved labels (switchboard, safety, asset, identification)
• Traffolyte and engraving laminate products
• Label design from customer-supplied drawings or specifications
• Online self-service label design through our website
• 3D printed products and custom parts

A 10% wholesale discount applies to all products. There is no minimum order quantity.

Two pricing structures are available:

• Website Orders: Prices are displayed on the website and fixed at the time of order. The wholesale discount is applied automatically at checkout. Orders are placed through the online label designer without requiring design work from RBZ 3D, resulting in lower pricing.
• Custom / Email Orders: Pricing for custom orders varies based on label specifications including size, material, quantity, and design complexity. A quote will be provided for each job. Custom orders include a design component where artwork is created from customer-supplied sketches, descriptions, or other references. The wholesale discount is included in quoted prices unless otherwise requested.

Account holders exceeding $10,000 in orders per month may apply for a fixed pricing agreement based on current material costs. Fixed pricing arrangements are negotiated individually and documented in a separate written agreement.

All prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. GST will be applied at checkout where applicable. Website pricing is based on current material costs and may change without notice. Updated pricing is reflected on the website and in the Wholesale Price Guide. Custom order quotes are valid for 30 days from the date of issue.

4. Payment Terms and Credit

The following payment terms are available for wholesale accounts:

• Cash on Delivery (COD)
• 14-day terms
• 30-day terms

60-day payment terms may be made available after six months of consistent on-time payment history at 30-day terms or lower.

The maximum initial credit limit is $5,000 AUD. This limit may be increased based on consistent on-time payment history or advance payments.

All invoices are due by the end of the agreed payment term. Overdue accounts may incur interest at the Reserve Bank of Australia (RBA) cash rate plus 10% per annum, calculated daily on the outstanding balance from the due date until payment is received. RBZ 3D may suspend credit facilities until the outstanding balance is settled.

All prices are quoted and payable in Australian Dollars (AUD).

The account holder authorises RBZ 3D to make credit enquiries and obtain credit reports for the purpose of assessing the application and ongoing creditworthiness.

5. Personal Guarantee

Where a personal guarantee is provided as part of the wholesale account application, the nominated individual(s) are personally liable for all debts incurred on the account.

The personal guarantee survives account closure and remains in effect until all outstanding debts are settled in full.

The Guarantor(s) acknowledge they have had the opportunity to obtain independent legal advice before signing the guarantee.

6. Intellectual Property and Copyright

RBZ 3D will not knowingly reproduce copyrighted material, logos, trademarks, or other protected intellectual property without express written permission from the rights holder. It is the responsibility of the account holder to ensure they have the necessary rights or permissions for any designs submitted for production. RBZ 3D accepts no liability for any infringement arising from materials supplied by the account holder.

RBZ 3D will not represent custom-ordered products as its own work in any portfolio, marketing, or promotional materials unless the design is generic in nature or prior written permission has been obtained from the account holder.

The account holder retains ownership of any original designs they supply. RBZ 3D retains ownership of any design work created by RBZ 3D on behalf of the account holder unless otherwise agreed in writing.

7. Delivery

Production timeframes vary depending on order size and complexity. Estimated production times will be provided where applicable but are not guaranteed. RBZ 3D will make reasonable efforts to meet estimated timeframes.

All wholesale account orders include free shipping Australia-wide.

Standard delivery timeframes apply, typically 3–5 business days from dispatch. Delivery times may vary depending on location and carrier conditions.

Where shipping is arranged by RBZ 3D, we will take reasonable steps to ensure goods are delivered in good condition and will assist with any claims against the carrier where damage or loss occurs.

8. Retention of Title

Title to all goods supplied by RBZ 3D remains with RBZ 3D until full payment has been received for those goods and any other amounts owing by the account holder.

Until title passes, the account holder:

• must hold the goods as bailee for RBZ 3D;
• may sell the goods in the ordinary course of business; and
• must keep records of such sales.

Where goods are sold prior to payment, the proceeds of sale are to be held on trust for RBZ 3D to the extent of any unpaid amounts.

9. Logo Usage

During the application process, the account holder may opt in to grant RBZ 3D permission to display their company logo. Two separate permissions are available:

• Display on the RBZ 3D website (e.g. partner/supplier section)
• Use in RBZ 3D marketing materials (e.g. social media, printed brochures)

Where logo usage is permitted, RBZ 3D will:

• Display the logo in its original form without modification, distortion, or alteration of colours
• Use the logo only to indicate a supply relationship between the parties
• Not imply endorsement, sponsorship, or partnership beyond the wholesale supply arrangement

Neither party will use the other party’s logo in any way that is misleading, defamatory, illegal, or that could reasonably damage the reputation of the other party.

The account holder is similarly permitted to use the RBZ 3D logo under the same terms outlined above, solely to indicate the supply relationship. The same usage restrictions and obligations apply.

Either party may revoke logo permission at any time by providing written notice to the other party.

Upon receiving a revocation request, the receiving party will remove the logo from digital materials within 14 business days, or sooner where required by law or to avoid reputational damage. Where this agreement is terminated, removal must be immediate. Printed materials not yet distributed must also be withheld. Materials already physically distributed prior to revocation are not required to be recalled.

10. Account Suspension and Termination

RBZ 3D may place an account on credit hold for any account with overdue invoices. Orders placed while on credit hold must be paid in full at the time of order.

Either party may terminate this agreement at any time by providing written notice to the other party.

RBZ 3D reserves the right to suspend or terminate any wholesale account immediately and without notice where there is a breach of these terms, suspected fraud, non-payment, or any other conduct that RBZ 3D considers detrimental to its business.

Termination or suspension of this agreement does not affect any outstanding debts or obligations incurred prior to termination. All amounts owing remain payable in full regardless of the reason for termination.

11. Returns and Refunds

All designs are carefully reproduced to match the approved artwork. Once a design has been approved by the account holder, it is considered final. Due to the custom nature of the product, labels cannot be returned or refunded once production has commenced unless:

• The finished product does not match the specifications of the original approved design
• The material is faulty (e.g. delamination, defective engraving)

Products meeting the above criteria will be replaced or refunded at the discretion of RBZ 3D, acting reasonably. This does not affect your rights under the Australian Consumer Law.

RBZ 3D is not liable for damage that occurs during shipping by third-party carriers. For minor shipping damage, RBZ 3D may at its discretion replace affected labels as a goodwill gesture. For significant damage or loss, the account holder should lodge a claim directly with the carrier. RBZ 3D will endeavour to assist with the claims process where possible.

Claims should be made within 7 days of delivery and accompanied by photographs of the product and the original approved design for comparison. Claims made after this period are considered on a case-by-case basis.

12. Limitation of Liability

To the maximum extent permitted by law, RBZ 3D shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our products or services.

Our total liability for any claim shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

13. Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any consumer guarantees or other rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).

For products or services valued under $100,000, our liability is limited to, at our discretion, replacing or repairing the goods, or providing a refund.

14. Privacy

Information collected as part of your wholesale account is used for account management and order fulfilment. For full details on how we handle your personal information, please refer to our Privacy Policy.

15. Changes to Terms

RBZ 3D may update these Wholesale Terms & Conditions from time to time. We will provide reasonable notice of any material changes. Your continued use of a wholesale account after notification constitutes acceptance of the updated terms.

16. Governing Law

These terms are governed by the laws of Queensland, Australia. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Queensland.
